  1. CONTEST NAME. CAN Electric Vibe X CELSIUS Merch Giveaway (the “Contest”).<\/li>\n
  2. WHO MAY ENTER. Contest is only open to those who, as of the start of the Entry Period, are legal residents of Quebec (the “Quebec Region”), British Columbia, Alberta, Saskatchewan, Manitoba, Northwest Territories (collectively, the “Western Region”), Ontario (the “Central Region”), Nova Scotia, New Brunswick, Newfoundland, and Prince Edward Island (collectively, the “Atlantic Region”) ( the Western Region, the Central Region and the Atlantic Region are collectively “The Rest of Canada”) who at the time of entry have reached the legal age of majority in their province\/territory of residence. The following persons are not eligible to win a Prize (as such term is defined below): officers, directors, shareholders, employees, agents, and\/or representatives of Celsius Live Fit Canada (the “Sponsor”) and their respective affiliates or related companies, advertising agencies, licensees, franchisees, partners, retailers, distributors and\/or any other party related to the Contest (collectively the “Released Parties”). Also, any member of the immediate family of the persons mentioned in this section and any person living with them under the same roof (whether or not a member of their immediate family) is not eligible to win a Prize. The term “Immediate Family” means fathers, mothers, brothers, sisters, children, husbands, wives, or spouses of the persons mentioned in this section, regardless of where they live. The Contest is not open and void where prohibited by law.<\/li>\n
  3. ENTRY PERIOD. The Contest entry period begins at 2:00 PM Eastern Time (“ET”) on June 1st, 2026, and ends at 11:59 PM ET on June 7th, 2026, (the “Entry Period”). Sponsor’s computer is the official timekeeping device for the Contest.<\/li>\n

        Completion of the above steps constitutes one (1) “Entry” by an eligible participant “Entrant.”<\/p>\n <\/li>\n

      5. ENTRY TERMS. Entrant agrees that Released Parties are authorized to contact Entrant via email, mail, phone or any other form of media to make Entrant aware of information pertinent to the Contest, and to distribute information regarding the Released Parties featured products, special events or future contests, Contests or offers. Entrants may opt-out of any further marketing at any time. The Entry (1) cannot be derogatory of any ethnic, racial, gender, religious, professional or age group; (2) must not infringe upon the rights of any third parties; (3) must be received by Sponsor during the Entry Period. This Contest is not sponsored, endorsed, administered by, or associated with Instagram or Meta. Entrants must complete all Entry prompts and comply with these Official Rules to be eligible to win. Any incomplete or illegible Entries will be disqualified. Each Entrant must submit an Entry on their own behalf. Any attempt by any Entrant to obtain additional Entries beyond the limit by using multiple\/different email addresses, social media accounts, identities, registrations, or any other methods will void that Entrant’s Entries and that Entrant may be disqualified. Use of any automated system to participate is prohibited and will result in disqualification. The natural person who is the authorized account holder of the email address associated with the Entry Instagram account will be deemed to be the entrant, but only if that person is otherwise eligible to enter the Contest. The “authorized account holder” is the natural person assigned to an email address by an internet access provider, online service provider, internet service provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. Each Potential Winner may be required to show proof of being the authorized account holder. If a dispute cannot be resolved to Sponsor’s satisfaction, the winning Entrant may be deemed ineligible. All Entries become the exclusive property of Sponsor and none will be acknowledged or returned. Proof of submission of Entry will not be deemed proof of receipt of Entry by Sponsor. Released Parties are not responsible for lost, late, misdirected, illegible, incomplete, invalid, unintelligible, damaged Entries, or for Entries submitted in a manner that is not expressly allowed under these rules, or for any entry not submitted or received due to any technical error or failure, unauthorized human intervention, inaccurate capture or mis-entry of any required information, or the failure to capture any such information for any reason including programming or technical errors, or effects of hackers or failure of any electronic equipment, computer or cellular transmissions and\/or network connections; all of which will be disqualified.<\/li>\n
      6. ACCEPTATION DU R\u00c8GLEMENT OFFICIEL ET DES D\u00c9CISIONS.       7. DRAWING; ODDS; NOTIFICATION. On or about June 7th, 2026, Sponsor or Sponsor’s designee will randomly select FIVE (5) Entrant(s) from among all eligible Entries received (“Potential Winner”). Odds of winning a prize depend on the number of eligible entries received. The Potential Winner will be notified by Instagram Direct Message from the official @celsius_canada Instagram account.<\/li>\n
      8. REQUIREMENTS TO CLAIM PRIZE. To be declared a Winner and be awarded a Prize, the selected Entrant must: (i) respond to the Instagram direct message within three (3) days; (ii) correctly answer, without assistance of any kind, whether mechanical or otherwise, a time-limited mathematical skill-testing question administered at a mutually agreed upon time; and (iii) otherwise comply with these Official Rules. As a condition of being declared a Winner, the selected Entrant may also be required to do any or all of the following: (i) supply proof of age consisting of a legible photocopy of either a provincially issued driver’s license or other government issued identification; (ii) supply proof of address consisting of a legible photocopy of either a provincially issued driver’s license or other government issued identification, (iii) supply proof that they are the authorized account holder associated with the selected social media account, and (iv) sign and return the Sponsor’s Declaration and Release Form (the “Release Form”). The Release Form (among other things): (i) confirms compliance with these Rules and acceptance of the applicable Prize\u202fas\u202fawarded without substitution; (ii) releases the Sponsor, its affiliated and related companies, the prize suppliers, advertising and Contestal agencies and each of their respective shareholders, directors, officers, employees, agents, dealers, representatives, successors and assigns from any liability in connection with this Contest, the selected entrant’s participation therein and\/or the awarding and use\/misuse of the Prize or any portion thereof; and (iii) provides winner’s agreement to the publication, reproduction and\/or other use of his\/her name, voice, statements about the Contest and\/or photograph or other likeness, without further notice or compensation, in any publicity or advertisement carried out by the Sponsor in any manner whatsoever, including print, broadcast or the Internet. The Release form shall be received by Sponsor within the\u202ftime period\u202findicated\u202fon the Release Form. The Sponsor and its agents assume no responsibility for lost, stolen, delayed, illegible, damaged, misdirected, late, or otherwise void Release Forms.<\/li>\n
      9.       10. In most cases, Prizes will be delivered to winners at the address\u202fsubmitted\u202fwithin four (4) to eight (8) weeks of receiving their correctly completed documentation. The Sponsor is not responsible for contacting or\u202fforwarding\u202fPrizes to winners who leave unclear or incomplete information, or for Prizes lost, misdirected,\u202fdelayed\u202for destroyed while in transit. Prizes will be deemed delivered to the Winner once a Prize is delivered by Sponsor to the common carrier of Sponsor’s choosing. Sponsor will not be responsible or liable for a late, delayed, lost, stolen, undeliverable or damaged Prizes once delivered to the common carrier, for any loss or damages relating to delivery, use, or misuse of a Prize, or for any Entrant who incorrectly entered their actual address during the registration process.<\/li>\n
      11. PRIZE(S). FIVE (5) Prizes will be awarded in this Contest. The approximate retail value (“ARV”) of each Prize is four hundred dollars ($400). The “Prize” consists of, and is limited only to, a CELSIUS Soccer Classic scarf, a CELSIUS Soccer Classic hat, a plain black CELSIUS t-shirt and shorts, one black CELSIUS Holdings water bottle, one CELSIUS belt bag, one pair of CELSIUS socks, and five cases of ELECTRIC VIBE CELSIUS. Prize must be accepted as awarded, and is awarded “AS IS” with no warranty, representation or guarantee, express or implied, in fact or in law, made by Released Parties or for which Released Parties shall be liable, including, without limitation, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT OR FITNESS FOR A PARTICULAR PURPOSE. No substitution, assignment or transfer of a prize is permitted, except by Sponsor, who reserves the right to substitute a prize with another prize of greater or equal value, in the event of unavailability of the advertised prize. Winner is solely responsible for any and all costs, fees, taxes and expenses associated with prize award, receipt and use, including all taxes on the prize.<\/li>\n
      12.       13. PUBLICITY. Except where prohibited by law, participation in the Contest constitutes Winner’s consent to Sponsor’s (and its designees’, successors’, and assigns’) use of Winner’s name, biography, likeness, voice, photographs, video, opinions, statements, hometown, state and country for Contestal purposes in any manner or media (including, without limitation, online), worldwide, in perpetuity, and without further payment, consideration, notice, review or consent.<\/li>\n
      14. GENERAL CONDITIONS. Sponsor reserves the right, in its sole discretion, to terminate, modify or suspend the Contest if, in Sponsor’s opinion, there is any suspected or actual evidence of electronic or non-electronic tampering with any portion of the Contest, or if viruses, bugs, unauthorized intervention, fraud, technical difficulties or failures or any other factor beyond Sponsor’s reasonable control corrupt or affect the administration, security, fairness, integrity or proper conduct of the Contest. In such event, Sponsor reserves the right (but does not have the obligation) in its sole discretion to award the prize at random from among eligible, non-suspect entries received up to the time of suspected impairment. Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Contest or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately damage any website or undermine the legitimate operation of this Contest is a violation of criminal and civil laws, and, should such an attempt be made, Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision or any other provision of these Official Rules. Sponsor reserves the right to cancel, suspend, or modify the Contest if any event or circumstance arises that, in Sponsor’s sole discretion, prevents the Contest from being conducted as planned.<\/li>\n
      15. RELEASE. By entering, each Entrant forever, fully and irrevocably releases and holds harmless Released Parties, the host social media platform, and all of their respective employees, officers, directors, shareholders and agents from and against all claims, damages or liabilities arising in whole or in part, directly or indirectly, from entrant’s participation and\/or entry in the Contest and\/or entrant’s award, receipt or use of any prize awarded in the Contest.<\/li>\n
      16. LIMITATIONS OF LIABILITY. Released Parties are not responsible for: (a) incorrect or inaccurate transcription of entry information or late, lost, stolen, unintelligible, illegible, damaged, mutilated, altered, incomplete or misdirected entries or entries received through impermissible or illegitimate channels, all of which will be disqualified; (b) technical failures of any kind, including but not limited to the malfunctioning of any telephone, computer online systems, computer equipment, website, server provider, network, hardware or software; (c) the unavailability or inaccessibility of any website or service; (d) unauthorized intervention in any part of the entry process or the Contest; (e) printing, typographical, electronic or human errors, which may occur in the offer or administration of the Contest or the processing of entries; (f) any injury or damage to persons or property, including but not limited to entrant’s computer, which may be caused, directly or indirectly, in whole or in part, from Entrant’s participation in the Contest, or from viewing, playing or downloading any material from Sponsor’s website(s), regardless of whether the material was prepared by Sponsor or a third party, and regardless of whether the material is connected to Sponsor’s websites by a hypertext link; or (g) failure to supply the prize or any part thereof by reason of any acts of God, any actions, regulations, orders, pandemics, or requests by any governmental entity, equipment failure, terrorist acts, war, fire, unusually severe weather, embargo, labor dispute or strike, labor or material shortage, transportation interruption of any kind, or any other cause beyond Released Parties’ sole control.<\/li>\n
